Referral Program Terms

These Referral Program Terms ("Referral Terms") govern your participation in the SwapRoyale Referral Program ("Program"). These Referral Terms are incorporated into and subject to the SwapRoyale Terms of Use ("Terms of Use"). By participating in the Program, you agree to these Referral Terms. Capitalized terms not defined herein have the meanings given in the Terms of Use.

1. Program Overview

The SwapRoyale Referral Program allows eligible users ("Referrers") to earn rewards by referring new users ("Referees") to the SwapRoyale Interface. When a Referee creates an account using your unique referral link and interacts with competition smart contracts, you may earn rewards as described below.

2. Reward Structure

2.1 First Degree Rewards (Direct Referrals)

When a user signs up using your referral link and enters competitions through the Interface, you earn 2.5% of their entry fees for the duration of the Program.

2.2 Second Degree Rewards (Indirect Referrals)

When your First Degree Referrals refer new users, and those users enter competitions, you earn 1.25% of their entry fees for the duration of the Program.

2.3 When Rewards Are Earned

Referral rewards are only earned on competitions that actually start. This means:

  1. The competition must meet its minimum entrant requirement;
  2. The competition must not be cancelled before it starts;
  3. Rewards are calculated after the competition begins, not when the entry is submitted.

No rewards are earned on refunded entries. If a competition is cancelled for any reason before it starts (including failure to meet minimum entrants, technical issues, or at SwapRoyale's discretion), entry fees are refunded and no referral rewards are generated for those entries.

2.4 Reward Distribution

Referral rewards are calculated based on entry fees for competitions that have started. Rewards are distributed in USDC to your Wallet. The timing and method of distribution may vary and are subject to smart contract logic and network conditions.

2.5 Reward Timing

Referral rewards are processed by the smart contract when a competition starts and meets its minimum entrant requirement. Rewards are not generated until the smart contract processes them on-chain. There is no pending balance held by SwapRoyale — reward distribution is executed by the smart contract.

3. Eligibility

3.1 Who Can Participate

To participate in the Program, you must:

  1. Have a valid SwapRoyale account with a connected Wallet;
  2. Be at least eighteen (18) years old and of legal age to form a binding contract;
  3. Comply with the Terms of Use and these Referral Terms;
  4. Not be located in a jurisdiction where participation in the Program is prohibited.

3.2 One Account Per Person

Each person may only have one SwapRoyale account. Creating multiple accounts to generate self-referrals or artificially inflate referral rewards is prohibited and will result in account termination and removal from the Program.

3.3 Eligible Referees

For a Referee to be eligible, they must:

  1. Be a new user who has never previously created a SwapRoyale account;
  2. Sign up using your unique referral link;
  3. Not be an existing user creating a duplicate account;
  4. Actually enter competitions through the Interface.

4. Your Referral Link

4.1 Unique Link

You will receive a unique referral link associated with your account. This link is for your personal use only and may not be transferred or sold.

4.2 Sharing Your Link

You may share your referral link through:

4.3 Disclosure Requirement

When sharing your referral link, you must disclose that you will receive a reward if someone uses your link. This disclosure should be clear and conspicuous.

5. Prohibited Activities

You agree NOT to:

5.1 Deceptive Practices

  1. Make false, misleading, or deceptive statements about SwapRoyale, the Interface, or the Program;
  2. Misrepresent the nature of competitions or potential rewards;
  3. Create fake reviews or testimonials;
  4. Impersonate SwapRoyale or suggest official endorsement.

5.2 Spam and Unsolicited Communications

  1. Send unsolicited bulk emails, messages, or communications;
  2. Use telemarketing, SMS marketing, or fax broadcasting;
  3. Post referral links in comment sections, forums, or communities where such posts are prohibited;
  4. Use automated tools to distribute referral links.

5.3 Inappropriate Platforms

Post referral links on websites or platforms that feature:

  1. Illegal content or activities;
  2. Pornography or adult content;
  3. Violence, hate speech, or discrimination;
  4. Alcohol, tobacco, or controlled substances (where prohibited);
  5. Malware, phishing, or deceptive software.

5.4 Manipulation and Fraud

  1. Create multiple accounts for self-referral;
  2. Use bots, scripts, or automated systems to generate referrals;
  3. Pay or incentivize users to sign up without genuine interest;
  4. Collude with others to artificially inflate rewards;
  5. Exploit bugs or vulnerabilities in the referral system.

5.5 Intellectual Property Violations

  1. Copy or mirror the SwapRoyale website or Interface;
  2. Use SwapRoyale trademarks, logos, or branding without permission;
  3. Create websites or apps that could be confused with official SwapRoyale properties.

6. Account Termination

SwapRoyale is a non-custodial platform. Referral rewards are distributed via smart contract and are final and irreversible once on-chain. SwapRoyale cannot reverse, recover, or claw back any on-chain transactions.

However, SwapRoyale reserves the right to terminate your access to the Interface and remove you from the Program if:

  1. You violate these Referral Terms or the Terms of Use;
  2. Referrals were generated through fraudulent, deceptive, or prohibited activities;
  3. A Referee's account is terminated for violations;
  4. We determine, in our sole discretion, that the referral was not genuine.

7. Program Modifications and Termination

7.1 Changes to the Program

SwapRoyale may modify, suspend, or terminate the Program at any time, with or without notice. This includes changes to:

If the Program is terminated:

  1. No new referral rewards will accrue from future contests;
  2. All previously distributed on-chain rewards remain yours and are irreversible;
  3. Rewards for contests already started will still be processed by the smart contract as normal.

7.3 Your Right to Stop Participating

You may stop participating in the Program at any time by ceasing to share your referral link. Previously earned rewards remain subject to these terms.

8. Tax Responsibilities

You are solely responsible for determining and paying any taxes applicable to referral rewards you receive. SwapRoyale does not provide tax advice. Depending on your jurisdiction, referral rewards may be considered taxable income. Consult a tax professional for guidance.

9. No Employment Relationship

Participation in the Program does not create an employment, agency, partnership, or joint venture relationship between you and SwapRoyale. You are an independent participant and are not entitled to any employee benefits.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SWAPROYALE'S LIABILITY FOR ANY CLAIMS ARISING FROM THE PROGRAM IS LIMITED TO THE AMOUNT OF REFERRAL REWARDS ACTUALLY PAID TO YOU IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

SWAPROYALE IS NOT LIABLE FOR:

  1. Technical issues affecting reward calculations or distributions;
  2. Smart contract behavior or blockchain network issues;
  3. Actions of Referees after signing up;
  4. Changes to or termination of the Program.

11. Governing Law and Disputes

These Referral Terms are governed by the laws of the State of Delaware. Any disputes arising from the Program are subject to the arbitration provisions in the Terms of Use.
