Terms of Use
Effective Date: February 1, 2026
Welcome to SwapRoyale! These Terms of Use are a binding legal agreement between you and SwapRoyale. These Terms of Use govern your use of the Services. Capitalized terms used herein have the meaning given either when first used or in Section 20 (Definitions) below.
By accessing or using the Services in any way, including without limitation by visiting the Website, downloading the App, and/or using a Wallet with the Services, you represent that (1) you have read, understand, and agree to be bound by these Terms of Use; (2) you are of legal age to form a binding contract with us; and (3) you have the authority to enter into these Terms of Use. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE SERVICES. THE SERVICES ARE PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. SWAPROYALE DOES NOT PROVIDE ANY FINANCIAL OR INVESTMENT ADVICE OR RECOMMENDATIONS. THE SERVICES PROVIDE AN INTERFACE TO INTERACT WITH SMART CONTRACTS DEPLOYED ON THE BASE BLOCKCHAIN. SWAPROYALE DOES NOT CONTROL THESE SMART CONTRACTS OR THE BLOCKCHAIN.
SECTION 15 (ARBITRATION AGREEMENT) CONTAINS PROVISIONS THAT GOVERN HOW TO RESOLVE DISPUTES BETWEEN YOU AND SWAPROYALE. AMONG OTHER THINGS, SECTION 15 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 15 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 15 CAREFULLY.
UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT WITHIN THIRTY (30) DAYS IN ACCORDANCE WITH SECTION 15(j): (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.
SWAPROYALE IS A NON-CUSTODIAL INTERFACE TO BLOCKCHAIN-BASED PROTOCOLS. SWAPROYALE IS NOT A BROKER, FINANCIAL INSTITUTION, FINANCIAL ADVISOR, INVESTMENT ADVISOR, EXCHANGE, CUSTODIAN, OR MONEY TRANSMITTER. SWAPROYALE CANNOT INITIATE A TRANSFER OF ANY OF YOUR DIGITAL ASSETS OR OTHERWISE ACCESS YOUR DIGITAL ASSETS. SWAPROYALE PERFORMS CERTAIN ADMINISTRATIVE OPERATIONS ON THE SMART CONTRACTS (SUCH AS CONTEST FINALIZATION) BUT DOES NOT HAVE CUSTODY OVER USER FUNDS OR CONTROL OVER THE UNDERLYING BLOCKCHAIN PROTOCOLS.
PLEASE NOTE THAT THE AGREEMENT IS SUBJECT TO CHANGE BY SWAPROYALE IN ITS SOLE DISCRETION AT ANY TIME. When changes are made, SwapRoyale will make a new copy of the Terms of Use available within the Services. We will also update the "Effective Date" at the top of the Terms of Use. Any changes to the Agreement will be effective immediately for new users and will be effective thirty (30) days after posting notice of such changes for existing users. Your continued use of the Services constitutes your acceptance of such changes.
1. The Interface
Description of Services
SwapRoyale provides a non-custodial interface (the "Interface") that enables users to interact with smart contracts deployed on the Base blockchain. These smart contracts facilitate skill-based fantasy trading competitions where users can build simulated portfolios and compete based on portfolio performance. SwapRoyale operates certain administrative functions of these smart contracts (such as contest finalization and cancellation) but does not have custody over user funds or control over the underlying blockchain protocols.
The Interface allows users to:
- Connect or create Wallets to interact with the blockchain
- View information about available on-chain competitions
- Submit transactions to smart contracts for contest entry
- Track simulated portfolio performance based on oracle price data
- View competition results and receive winnings distributed by smart contracts
Non-Custodial Interface
The Services are entirely non-custodial. SwapRoyale provides only an interface to interact with blockchain-based protocols. SwapRoyale does not have custody of your digital assets and cannot initiate transfers of your cryptocurrency or otherwise access your funds. When you use the Services, you interact directly with blockchain-based smart contracts. SwapRoyale provides the interface but does not control, hold, or have access to your funds at any time.
SwapRoyale is not a bank, custodian, exchange, or money transmitter. We do not hold, store, or transmit your funds on your behalf. Your digital assets remain in your Wallet at all times until you authorize a transaction to interact with smart contracts on the blockchain.
Smart Contracts
The smart contracts accessible through the Interface are deployed on the Base blockchain and operate according to their programmed logic. Once deployed, the smart contract code is immutable and cannot be modified. SwapRoyale performs administrative operations such as contest finalization and cancellation according to the smart contracts' programmed rules, but cannot alter the contract logic, override outcomes, or access user funds.
You acknowledge that:
- Smart contract code is immutable and cannot be changed after deployment
- SwapRoyale cannot reverse, modify, or cancel transactions submitted to smart contracts
- The outcome of any interaction with smart contracts is determined by the contract code and blockchain state
- SwapRoyale is not responsible for the operation or outcomes of smart contract interactions
Simulated Trading Competitions
Contests are skill-based peer-to-peer fantasy trading competitions. Each participant begins with identical virtual starting capital and constructs a simulated portfolio composed of assets available within the Contest environment. Participants compete based on the relative performance of their portfolios during the Contest period. Entry fees are fixed and disclosed in advance. Prizes are awarded based on comparative portfolio performance rankings under a pre-disclosed scoring system and prize structure.
Portfolio performance is calculated using real-time market price data obtained from independent third-party data providers. Participants do not purchase, sell, or hold actual assets through participation in Contests. Simulated portfolios are constructs used solely for scoring purposes within the competition. Contests do not constitute financial trading services, investment products, or derivative instruments.
SwapRoyale does not act as a bookmaker, does not set odds, and has no stake in Contest outcomes. All outcomes are resolved exclusively using publicly available market price data from established third-party providers.
Skill-Based Competitions
Contests are games of skill, not chance. Success in Contests depends on participants' ability to apply the following skills:
- Market Analysis and Fundamental Evaluation
- Market Knowledge and Subject Matter Expertise
- Strategic Portfolio Construction and Capital Allocation
- Probabilistic Reasoning and Portfolio Correlation Management
- Timing of Market Entry and Tactical Execution
- Risk Management and Capital Discipline
Outcomes are determined by the relative skill of participants in evaluating market data, constructing portfolios, and managing risk over the Contest period. While markets involve inherent uncertainty, that uncertainty affects all participants equally and does not determine the winner. Chance does not materially or predominantly determine results. Participants who possess superior analytical ability and strategic portfolio management skills are consistently more likely to outperform less skilled participants across repeated Contests.
Wallets
To use the Services, you will need a Wallet. You may use an embedded Wallet provisioned through our third-party wallet provider or connect an external Wallet you control. Regardless of which Wallet type you use, SwapRoyale does not have access to your private keys and cannot access your Wallet or initiate any transaction without your explicit authorization.
If you use an embedded Wallet, your private keys are secured by the wallet provider's infrastructure pursuant to their terms. SwapRoyale does not have access to these private keys. If you lose access to your account credentials, you may lose access to your embedded Wallet and any funds contained therein. SwapRoyale has no ability to recover lost credentials or private keys.
You are solely responsible for the security of your Wallet, whether embedded or external. You acknowledge that if your private keys or account credentials are compromised, your digital assets may be stolen, and SwapRoyale cannot recover them or reverse any transactions.
Price Data
Simulated trade prices and portfolio valuations within competitions are determined using price data from Pyth Network and other third-party oracle providers. SwapRoyale does not control these oracles and does not guarantee the accuracy, timeliness, or availability of price data. Price data delays, errors, or outages may affect competition scoring. SwapRoyale is not liable for any losses or disputes arising from price data issues.
License to the Interface
Subject to the Agreement, SwapRoyale grants you a limited license to use the Interface for your personal purposes. Unless otherwise specified, your right to use the Interface is subject to the Agreement.
Updates
You understand that the Interface is evolving. You acknowledge and agree that SwapRoyale may update the Interface with or without notifying you.
2. User Representations
Your Representations
By using the Interface, you represent and warrant that:
- You are at least eighteen (18) years old and of legal age to form a binding contract;
- You are not a person barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction;
- You are legally permitted to access blockchain-based services in your jurisdiction;
- You are not named on any OFAC sanctions list or prohibited under OFAC programs;
- You will not use the Services for any illegal purpose, including money laundering or terrorist financing;
- You understand that you are interacting with smart contracts on a public blockchain and accept all associated risks.
Geographic Restrictions
The Services are not available to residents of the following U.S. jurisdictions: Connecticut, Delaware, Louisiana, Michigan, Montana, South Carolina, South Dakota, and Washington D.C..
The Services are also not available to users located in the following countries: China, India, Russia, North Korea, Pakistan, and Saudi Arabia.
By using the Services, you represent that you are not a resident of any restricted state or located in any restricted country. We may use geolocation technology to verify your location and block access from restricted jurisdictions. Attempting to circumvent geographic restrictions through VPNs, proxies, or other means is a violation of these Terms and may result in termination of your access to the Interface.
Your Responsibility
You are solely responsible for:
- Determining whether your use of the Interface and interaction with smart contracts is lawful in your jurisdiction
- Understanding the smart contracts you interact with
- All transactions you submit through the Interface
- The security of your Wallet and credentials
- Any tax obligations arising from your blockchain activities
SwapRoyale does not verify the legality of any user's activities and makes no representations regarding the legality of the Interface or smart contracts in any jurisdiction.
3. Interacting with Smart Contracts
Transaction Submission
When you use the Interface to interact with smart contracts (such as entering a competition or claiming winnings), you are submitting transactions directly to the Base blockchain. These transactions are:
- Initiated by you through your Wallet
- Processed by the blockchain network, not by SwapRoyale
- Irreversible once confirmed on the blockchain
- Subject to network conditions, gas fees, and blockchain availability
Competition Smart Contracts
The competition smart contracts accessible through the Interface have the following characteristics:
- Entry deposits and prize distributions are enforced by the smart contract according to its programmed rules
- Competition rules, prize structures, and outcomes are determined by the smart contract code
- Results are based on portfolio performance calculated using oracle price data
- SwapRoyale cannot modify competition outcomes or override smart contract logic
Minimum Entries and Refunds
Some competitions may have minimum entry requirements encoded in the smart contracts. If a competition does not meet its minimum entry threshold, the smart contract refunds entry deposits to participants' Wallets. The Interface displays competition parameters, but the smart contract code governs actual behavior.
No Guarantee of Availability
SwapRoyale does not guarantee that the Interface will be available at all times or that you will be able to interact with smart contracts when desired. Network congestion, Interface downtime, or other factors may prevent transaction submission.
4. Fees
Smart Contract Fees
Competitions accessible through the Interface may require deposits in USDC. These deposits are transferred directly to smart contracts on the blockchain, not to SwapRoyale. Any fees, prize structures, or distributions are determined by the smart contract code.
Third-Party Payment Processing
The Interface may integrate with third-party services to enable you to purchase USDC using payment methods such as Apple Pay or bank transfer ("Onramp") and to convert USDC to fiat currency ("Offramp"). These transactions are processed by third-party payment providers and are subject to their respective terms of service and fees. SwapRoyale does not control these payment processors and is not responsible for transaction fees, delays, or failures.
Gas Fees
Transactions on the Base blockchain may require gas fees. SwapRoyale may sponsor gas fees for certain transactions but is not obligated to do so. If gas fees are not sponsored, you are solely responsible for ensuring that you have sufficient funds to cover any gas fees required to complete transactions.
Taxes
You are solely responsible for determining what, if any, taxes apply to your blockchain activities and for paying such taxes. SwapRoyale does not provide tax advice.
5. Proprietary Rights
You agree that SwapRoyale and its licensors own all rights, title, and interest in and to the Interface, including all intellectual property rights. You will not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Interface.
The smart contracts deployed on the blockchain are publicly auditable on the Base blockchain. This section applies to the Interface, not to the underlying smart contract code.
Feedback
Any feedback, suggestions, or ideas you submit to SwapRoyale become the property of SwapRoyale. You hereby grant SwapRoyale a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute any feedback for any purpose.
6. User Conduct
You agree that you will not:
- Provide false or misleading information to SwapRoyale;
- Use or attempt to use another user's Wallet without authorization;
- Impersonate another person or entity;
- Use the Interface in any manner that could interfere with, disrupt, or negatively affect other users or the functioning of the Interface or smart contracts;
- Use any automated means, bots, scripts, or other tools to interact with the Interface in a manner that provides an unfair advantage;
- Attempt to bypass or circumvent any security measures or access restrictions;
- Collude with other users to manipulate smart contract outcomes;
- Exploit any bugs, vulnerabilities, or errors in the Interface or smart contracts;
- Use the Interface for any illegal purpose, including money laundering or terrorist financing;
- Create multiple accounts to circumvent restrictions or gain unfair advantages;
- Engage in any conduct that undermines the integrity of the smart contracts or the Interface.
7. Investigations
SwapRoyale reserves the right to investigate any suspected violations of these Terms. If SwapRoyale believes that violations have occurred, SwapRoyale may, at its sole discretion, immediately terminate your access to the Interface. SwapRoyale may also report suspected illegal activity to law enforcement or government officials.
Note that terminating your access to the Interface does not affect your ability to interact with smart contracts through other means, as the smart contracts exist independently on the public blockchain.
8. Indemnification
You agree to indemnify and hold SwapRoyale and its officers, employees, agents, partners, and licensors (collectively, "SwapRoyale Parties") harmless from any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of: (a) your use of, or inability to use, the Interface; (b) your interactions with smart contracts; (c) your violation of these Terms; (d) your violation of any rights of another party; (e) your violation of any applicable laws or regulations; or (f) any dispute between you and any other user. You agree that these provisions will survive any termination of the Agreement.
9. Third-Party Services
The Interface may contain links to or integrate with third-party services, including Wallet providers, blockchain networks, payment processors, and price oracle providers. SwapRoyale does not control these third-party services and is not responsible for their availability, accuracy, or reliability. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
10. Assumption of Risk
You acknowledge and accept the following risks:
- Smart Contract Risk. Smart contracts may contain bugs or vulnerabilities that could result in loss of funds or unexpected behavior. No audit can guarantee the absence of vulnerabilities. You interact with smart contracts at your own risk.
- Blockchain Risk. The Base blockchain may experience congestion, outages, forks, or other issues that could affect your ability to submit transactions or interact with smart contracts.
- Irreversibility. Blockchain transactions are irreversible. Once you submit a transaction, it cannot be reversed or recovered.
- Oracle Risk. Price data from oracles may be delayed, inaccurate, or manipulated, which could affect competition outcomes.
- Wallet Risk. You are responsible for the security of your Wallet and private keys or account credentials. SwapRoyale is not liable for losses due to compromised Wallets.
- Regulatory Risk. Regulatory changes could affect the availability of the Interface or the legality of interacting with smart contracts in your jurisdiction.
- Financial Risk. You may lose your entire deposit when interacting with competition smart contracts. You should only use funds you can afford to lose.
- Volatility Risk. The value of digital assets is highly volatile.
- No Recourse. Because SwapRoyale does not control the smart contracts or blockchain, there may be no recourse if something goes wrong with a transaction or smart contract interaction.
- Technology Risk. There are risks associated with using Internet-based services, including hardware and software failures, malicious software, and unauthorized access.
11. Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE INTERFACE IS AT YOUR SOLE RISK, AND THE INTERFACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. SWAPROYALE PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SWAPROYALE PARTIES MAKE NO WARRANTY THAT: (1) THE INTERFACE WILL MEET YOUR REQUIREMENTS; (2) YOUR USE OF THE INTERFACE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (3) THE INFORMATION PROVIDED THROUGH THE INTERFACE WILL BE ACCURATE OR RELIABLE; OR (4) ANY ERRORS IN THE INTERFACE WILL BE CORRECTED.
SWAPROYALE PROVIDES ONLY AN INTERFACE TO BLOCKCHAIN-BASED PROTOCOLS. SWAPROYALE MAKES NO WARRANTIES REGARDING THE SMART CONTRACTS, BLOCKCHAIN NETWORKS, ORACLES, OR ANY OTHER THIRD-PARTY PROTOCOLS ACCESSIBLE THROUGH THE INTERFACE.
SWAPROYALE IS NOT AN INVESTMENT OR FINANCIAL ADVISOR. SWAPROYALE DOES NOT PROVIDE INVESTMENT ADVICE OR RECOMMENDATIONS.
12. Limitation of Liability
YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL SWAPROYALE PARTIES BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF DIGITAL ASSETS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, WHETHER OR NOT SWAPROYALE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT, ON ANY THEORY OF LIABILITY.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RESULTING FROM: (a) THE USE OR INABILITY TO USE THE INTERFACE; (b) YOUR INTERACTIONS WITH SMART CONTRACTS; (c) SMART CONTRACT BUGS OR VULNERABILITIES; (d) ORACLE OR PRICE DATA ERRORS; (e) BLOCKCHAIN NETWORK ISSUES; (f) UNAUTHORIZED ACCESS TO YOUR WALLET; (g) ACTIONS OF OTHER USERS OR THIRD PARTIES; (h) THIRD-PARTY PAYMENT PROCESSING; OR (i) ANY OTHER MATTER RELATED TO THE INTERFACE OR SMART CONTRACTS.
TO THE FULLEST EXTENT PROVIDED BY LAW, SWAPROYALE PARTIES WILL NOT BE LIABLE TO YOU FOR MORE THAN $100.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SWAPROYALE AND YOU.
13. Term and Termination
The Agreement commences on the date you accept them and remains in full force and effect while you use the Interface, unless terminated earlier.
SwapRoyale may terminate or suspend your access to the Interface at any time, for any reason, in its sole discretion, including for any violation of these Terms.
You may terminate your use of the Interface at any time by ceasing to use the Interface.
Termination of your access to the Interface does not affect your ability to interact with smart contracts through other means, as the smart contracts exist independently on the public blockchain.
All provisions of the Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.
14. App Store Terms
Apple App Store
The following terms apply to users who access the Interface through the iOS App downloaded from the Apple App Store:
This Agreement is between you and SwapRoyale only, not with Apple Inc. ("Apple"). Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of any such claim.
Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
Google Play Store
The following terms apply to users who access the Interface through the Android App downloaded from the Google Play Store:
This Agreement is between you and SwapRoyale only, not with Google LLC ("Google"). Google has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
Google is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; (c) claims arising under consumer protection, privacy, or similar legislation; and (d) any claim that the App infringes a third party's intellectual property rights.
You must comply with any applicable third-party terms of agreement when using the App (e.g., your wireless data service agreement).
Google and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Google will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
You acknowledge that Google has no obligation to provide any support or maintenance for the App. If you have any questions, complaints, or claims with respect to the App, please contact SwapRoyale at support@swaproyale.com.
15. Arbitration Agreement
Please read this section carefully. It affects your legal rights.
(a) Applicability
Subject to the terms of this Arbitration Agreement, you and SwapRoyale agree that any dispute, claim, or disagreement arising out of or relating to your access to or use of the Interface, or this Agreement (each, a "Dispute") will be resolved by binding arbitration, rather than in court, except that: (i) you and SwapRoyale may assert claims in small claims court if such claims qualify; and (ii) you or SwapRoyale may seek equitable relief in court for infringement or misuse of intellectual property rights.
(b) Informal Dispute Resolution
Before commencing arbitration, you and SwapRoyale agree to attempt to resolve any Dispute informally. The party initiating a Dispute must give written notice to the other party of its intent to initiate an informal dispute resolution conference, which shall occur within forty-five (45) days after the other party receives such notice. If the Dispute is not resolved within sixty (60) days of receipt of such notice, either party may commence arbitration.
(c) Waiver of Jury Trial
YOU AND SWAPROYALE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.
(d) Waiver of Class Actions
YOU AND SWAPROYALE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND DISPUTES OF MORE THAN ONE USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.
(e) Rules and Forum
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules then in effect. The Federal Arbitration Act, 9 U.S.C. ยง 1 et seq., will govern the interpretation and enforcement of this Arbitration Agreement.
(f) Arbitrator
The arbitrator will be either a retired judge or an attorney licensed to practice law in the state of Delaware.
(g) Authority of Arbitrator
The arbitrator shall have exclusive authority to resolve any Dispute, including disputes arising out of or relating to the interpretation or application of this Arbitration Agreement. The arbitrator shall issue a written award and statement of decision. The award of the arbitrator is final and binding.
(h) Attorneys' Fees
The parties shall bear their own attorneys' fees and costs in arbitration unless the arbitrator finds that either the substance of the Dispute or the relief sought was frivolous or brought for an improper purpose.
(i) Batch Arbitration
If one hundred (100) or more similar arbitration demands are filed against SwapRoyale by or with the assistance of the same law firm within a thirty (30) day period, the AAA shall administer the arbitrations in batches of 100, appoint one arbitrator for each batch, and resolve each batch as a single consolidated arbitration.
(j) 30-Day Right to Opt Out
You have the right to opt out of this Arbitration Agreement by sending written notice of your decision to opt out to SwapRoyale at support@swaproyale.com within thirty (30) days after first becoming subject to this Arbitration Agreement. Your notice must include your name, wallet address, and a clear statement that you wish to opt out of the Arbitration Agreement. If you opt out, all other parts of this Agreement will continue to apply.
16. Referral Program
SwapRoyale offers a referral program that allows users to earn rewards for referring new users to the Interface. Your participation in the referral program is governed by the separate Referral Program Terms available at https://swaproyale.com/referral-terms, which are incorporated into this Agreement by reference.
SwapRoyale reserves the right to modify, suspend, or terminate the referral program at any time. Referral rewards are distributed automatically via smart contract and are final and irreversible once on-chain. Users who engage in fraud, deception, or violation of these Terms may have their accounts terminated from the Interface.
17. Credits & Promotions
Signup Credits
New users may receive credits upon account creation. Credits are issued once per person and verified per device via Apple DeviceCheck. This promotion may be modified or discontinued at any time for new users.
Playthrough Bonus
After opting in, users may enter a specified amount in paid contests within 30 days to earn bonus credits. The 30-day window begins at opt-in and cannot be extended or restarted. One claim per device. Credits are issued upon claiming and verified via Apple DeviceCheck. This promotion may be modified or discontinued at any time for new opt-ins.
Credit Terms
Credits are applied automatically toward paid contest entry fees and can only be used for contest entries. Credits are non-transferable between accounts. Inactive credits expire after 45 days. SwapRoyale reserves the right to modify, suspend, or terminate any credit or promotional program at any time in its sole discretion.
18. General Provisions
Electronic Communications
You consent to receive communications from SwapRoyale electronically. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
Release
To the maximum extent permitted by law, you release SwapRoyale Parties from all claims, demands, losses, damages, rights, and actions of any kind arising from your use of the Interface or your interactions with smart contracts, including any interactions with other users. You waive any rights under California Civil Code Section 1542 or any similar law.
Assignment
You may not assign or transfer your rights or obligations under this Agreement without SwapRoyale's prior written consent.
Force Majeure
SwapRoyale shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, network outages, blockchain issues, oracle failures, smart contract behavior, or regulatory actions.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions, consistent with the Federal Arbitration Act.
Exclusive Venue
To the extent the parties are permitted to initiate litigation in a court, both you and SwapRoyale agree that all claims and disputes will be litigated exclusively in the state or federal courts located in Delaware.
Severability
If any portion of this Agreement is held invalid or unenforceable, that portion shall be construed to reflect the original intention of the parties, and the remaining portions shall remain in full force and effect.
Waiver
Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings.

20. Definitions
"Agreement" means these Terms of Use and any supplemental terms applicable to your use of the Interface.
"App" means the SwapRoyale mobile application.
"Interface" means the user interface provided by SwapRoyale to interact with blockchain-based smart contracts.
"Services" means the Interface and any related products and services made available by SwapRoyale through the Website and the App.
"Smart Contracts" means the immutable smart contract programs deployed on the Base blockchain that are accessible through the Interface.
"SwapRoyale", "we", or "us" means SwapRoyale, Inc., a Delaware corporation.
"SwapRoyale Parties" means SwapRoyale, its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors.
"USDC" means the USD Coin stablecoin.
"Wallet" means a software-based system for secure storage and management of digital assets, including embedded wallets provisioned through third-party providers.
"Website" means the website available at https://swaproyale.com.
"You" means the individual accessing or using the Interface.
