SwapRoyale $1,000 USDC Giveaway

These Official Rules ("Rules") govern the SwapRoyale $1,000 USDC Giveaway (the "Giveaway"). By entering the Giveaway, you agree to be bound by these Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Giveaway.

1.Sponsor

The Giveaway is sponsored and administered by SwapRoyale, Inc., a Delaware corporation ("Sponsor" or "SwapRoyale"), located at 131 Continental Dr, Suite 305, Newark, DE 19713, United States. The Sponsor retains full discretion over all decisions and outcomes relating to the Giveaway.

2.Eligibility

The Giveaway is open only to legal residents of the United States who are at least eighteen (18) years of age, or the age of majority in their state of residence, whichever is greater, at the time of entry, excluding residents of Connecticut, Delaware, Louisiana, Michigan, Montana, South Carolina, South Dakota, and Washington D.C. Because prizes are delivered to a SwapRoyale wallet, entrants must be eligible to hold a SwapRoyale account under the SwapRoyale Terms of Use, and the same geographic restrictions apply to this Giveaway.

Employees, officers, and directors of the Sponsor, and their immediate family members and persons living in the same household, are not eligible to enter or win.

The Giveaway is void where prohibited or restricted by law. Entry constitutes agreement to these Rules. All information submitted in connection with the Giveaway, whether through X, by email, or through a SwapRoyale account, is handled in accordance with the SwapRoyale Privacy Policy. If you create or use a SwapRoyale account in connection with entry, the SwapRoyale Terms of Use also apply.

3.Giveaway Period

The Giveaway begins on July 14, 2026 at 12:00:00 AM Eastern Time (ET) and ends on July 17, 2026 at 11:59:59 PM ET (the "Giveaway Period"). Entries received before or after the Giveaway Period are void. The Sponsor's clock is the official timekeeper for the Giveaway.

4.How to Enter

There are two free ways to enter. Limit one (1) entry per person for the entire Giveaway, regardless of the method or combination of methods used.

Method 1: Enter on X

During the Giveaway Period, complete all of the following on X with respect to the official giveaway post published by the @SwapRoyale account (the "Giveaway Post"):

1. Reply to the Giveaway Post with your SwapRoyale username;
2. Tag a friend in your reply;
3. Repost the Giveaway Post;
4. Like the Giveaway Post; and
5. Follow the official @SwapRoyale account on X.

A SwapRoyale account is required to have a SwapRoyale username. The SwapRoyale app and account are free. You can download the app on iOS from the App Store. No purchase, deposit, or contest entry is required to create an account or to obtain a username, and making a purchase or deposit will not increase your chances of winning.

Method 2: Alternate Free Entry by Email

To enter without an X account or without a SwapRoyale account, send an email during the Giveaway Period to support@swaproyale.com with the subject line "$1,000 USDC Giveaway Entry" and include your full name, your state of residence, and an email address or X handle where we can reach you. Email entries must be received within the Giveaway Period. Proof of sending an email does not constitute proof of delivery or receipt. Email entries have equal standing with X entries in the random drawing.

Entry Conditions

Entries must be submitted by the authorized holder of the X account or email address used to enter. In the event of a dispute over the identity of an entrant, the entry will be deemed to have been submitted by the authorized account holder of record of that X account or email address at the time of entry, and the dispute will be resolved in favor of the authorized account holder. Entries generated by scripts, bots, or automated means are void. Entries submitted from multiple or duplicate X accounts or multiple or duplicate SwapRoyale accounts will be disqualified, and the Sponsor may disqualify all entries from any person who attempts to enter more than once. The Sponsor reserves the right to reject any entry that contains content that is inappropriate, offensive, or infringes the rights of any third party.

5.Winner Selection

Ten (10) potential winners will be selected at random from all eligible entries received during the Giveaway Period. The drawing will take place after the Giveaway Period closes, on or about July 18, 2026. Each winner will receive one (1) prize of $100 in USDC. The total approximate retail value of all prizes is $1,000. Odds of winning depend on the total number of eligible entries received. No entrant may win more than one prize.

6.Winner Notification

Potential winners will be contacted only by the official @SwapRoyale X account (or, for email entrants, from an official swaproyale.com email address) within three (3) days of the drawing.

Beware of impersonators. We will never DM you first from any other account. We will never ask you to send funds, pay a fee, connect a wallet to "claim" a prize, or share a seed phrase, private key, or password. Anyone who asks for any of these is not SwapRoyale.

No action is required to claim a prize. Prizes are sent directly to the SwapRoyale wallet associated with the SwapRoyale username provided in the winning entry. If a winning entry does not include a valid SwapRoyale username (for example, an email entry from someone without an account), the Sponsor will contact the winner, who may create a free SwapRoyale account to receive the prize. The Sponsor reserves the right to verify any winner's eligibility and, where lawful, to require a signed declaration of eligibility and release before awarding a prize. If a prize cannot be delivered within thirty (30) days of the drawing because the winning entry has no valid SwapRoyale account or the winner is found ineligible, that prize may be awarded to an alternate winner selected at random from the remaining eligible entries.

7.Prizes

Each of the ten (10) winners will receive $100 in USDC (USD Coin), for a total approximate retail value of $1,000 across all prizes. Prizes will be delivered as USDC sent to the winner's SwapRoyale wallet. A SwapRoyale account is required to receive a prize; the account and wallet are free, and a winner who does not already have a SwapRoyale account may create one free of charge after being notified in order to receive the prize.

Prizes are non-transferable and no substitution or cash equivalent is permitted, except that the Sponsor reserves the right to substitute a prize of equal or greater value if a prize cannot be awarded as described. The value of a prize may constitute taxable income to the winner. Winners are solely responsible for reporting and paying all applicable taxes on their prize.

8.Publicity License

Except where prohibited by law, by entering the Giveaway each entrant grants the Sponsor a perpetual, non-exclusive, worldwide, royalty-free license to use the entrant's entry, name, X handle, SwapRoyale username, likeness, and prize information for advertising and promotional purposes in any media, without additional compensation, notice, or approval. Where required by law, winner information, including username, may be published in a winners' list.

9.Limitation of Liability and Release

By entering, each entrant agrees to release and hold harmless the Sponsor, X Corp., Apple Inc., and each of their respective parents, subsidiaries, affiliates, officers, directors, employees, and agents (collectively, the "Releasees") from and against any claim, action, injury, loss, or damage of any kind arising out of or relating to participation in the Giveaway or the receipt, use, or misuse of any prize.

The Releasees are not responsible for: (a) lost, late, incomplete, misdirected, or undeliverable entries or notifications; (b) technical failures of any kind, including malfunctions of hardware, software, networks, or the X platform; (c) unauthorized human intervention in the entry process; (d) errors in the administration of the Giveaway or the processing of entries; (e) blockchain network conditions, wallet errors, or transaction failures affecting prize delivery; or (f) any failure or delay caused by events beyond the Sponsor's reasonable control.

PRIZES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH ENTRANT WAIVES ANY RIGHTS UNDER CALIFORNIA CIVIL CODE SECTION 1542 OR ANY SIMILAR LAW OF ANY OTHER JURISDICTION.

10.Binding Arbitration and Class Action Waiver

Except where prohibited by law, any dispute, claim, or disagreement arising out of or relating to the Giveaway or these Rules (each, a "Dispute") that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this section. Either party may instead assert an individual claim in small claims court if it qualifies.

Before commencing arbitration, the party raising a Dispute must give the other party written notice and a sixty (60) day opportunity to resolve the Dispute informally.

YOU AND THE SPONSOR EACH WAIVE ANY RIGHT TO HAVE A DISPUTE DECIDED BY A JUDGE OR JURY, AND EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING.

30-Day Right to Opt Out. You may opt out of this arbitration agreement by emailing written notice within thirty (30) days of your first entry into the Giveaway to support@swaproyale.com with the subject line "Arbitration Opt-Out". Your notice must include your name, your X handle or email address used to enter, and a clear statement that you wish to opt out of arbitration for the Giveaway. If you opt out, all other parts of these Rules continue to apply.

These Rules are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

11.General Rules

The Sponsor reserves the right, in its sole discretion, to modify, suspend, or cancel the Giveaway, in whole or in part, if fraud, technical failure, or any other factor impairs the integrity or proper operation of the Giveaway, and in such case to select winners from among all eligible entries received before the action requiring modification, suspension, or cancellation. The Sponsor may void suspicious entries and disqualify any individual it finds to be tampering with the entry process, violating these Rules, or acting in a disruptive manner. Any attempt to deliberately damage or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and the Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law. If any provision of these Rules is held invalid or unenforceable, the remaining provisions remain in full force and effect.

12.Official Rules and Winner List Requests

These Official Rules are available at all times during and after the Giveaway at https://swaproyale.com/terms/1k-usdc-giveaway. To request a list of winners, email support@swaproyale.com with the subject line "Winner List Request" within three (3) months after the end of the Giveaway Period.

13.Not Sponsored by X or Apple

This promotion is in no way sponsored, endorsed, or administered by, or associated with, X Corp. or Apple Inc. You understand that you are providing your information to the Sponsor and not to X Corp. or Apple Inc. Any questions, comments, or complaints regarding the Giveaway must be directed to the Sponsor at support@swaproyale.com, not to X Corp. or Apple Inc.
